Started as an LLC? Time to review your entity type for your cannabis business.

If you have a standalone cannabis licensed business, this may be a good time to review the tax attributes and know that you will move forward with the best choice after careful consideration. I want to do a “what if” discussion about converting your LLC to a C Corporation. Here are a variety of key attributes.

  • The owners are sheltered from income tax liabilities of the business.
  • If the business has losses, they are carried forward to the next year, which provides an offset to profits in the next year.
  • The company does not have to have the owners on payroll.
  • The company is easier to understand as a C corporation and may attract capital more easily.
  • Payouts to owners may be taxed to the owners upon receipt, but the payouts can be timed as to when the payouts occur, year by year, as opposed to LLCs which are required to have income taxable in the year earned.

There are many ways to structure cannabis businesses with C corporations.
